Steer Phones Service Terms

By using or accessing Steer's Phones Service ("Steer Phones"), or by signing or clicking accept to any Order Form that includes Steer Phones or references these terms, you ("you" or "Customer") agree to be bound by the following terms and conditions (the "Steer Phones Service Terms").
These Steer Phones Service Terms incorporate by this reference the Steer Terms & Conditions (currently available at: https://steer.io/terms-conditions) (the "Steer Terms & Conditions"), as may be updated from time to time, which, among other terms, contain provisions governing disclaimers, limitations of liability, indemnification, and dispute resolution (see the "Limitations on Liability," "Indemnity," and "Governing Law; Venue; Class Action Waiver" sections of the Steer Terms & Conditions). In the event of any conflict or inconsistency between these Steer Phones Service Terms and the Steer Terms & Conditions, these Steer Phones Service Terms will govern with respect to Steer Phones.
Capitalized terms used herein without a definition have the same meaning as the defined term in the Steer Terms & Conditions. All documents linked in these Steer Phones Service Terms are deemed to refer to those documents as updated from time to time. For the avoidance of doubt, all references to the "Agreement" in the Steer Terms & Conditions will include these Steer Phones Service Terms to the extent Customer's Order Form includes Steer Phones.
`1. Definitions
1.1. "Phones Service Provider(s)" means the third-party service provider(s) used by Mechanic Advisor to facilitate certain features of Steer Phones, which, as of the effective date of these Steer Phones Service Terms, includes Twilio Inc. ("Twilio"). Mechanic Advisor may add or remove Phones Service Providers from time to time.
1.2. "Personal Data" means information about an identifiable individual, or information that is capable of being used (alone or in combination with other information) to identify an individual (not a company, legal entity, or machine) and is transmitted to or accessible through Steer Phones.
1.3. "Authorized Users" means Customer's employees, contractors, and agents who are authorized by Customer to use Steer Phones on Customer's behalf.
1.4. “Desk Phone Products” or “Desk Phones” means the physical device and any hardware and accessories provided or made available by Mechanic Advisor as part of the Steer Phones Service. Any software and/or firmware preinstalled on, or distributed with, the Desk Phone Products forms part of the Desk Phone Products.
1.5. "Softphone" means the software-based phone available within a Steer Phones desktop or mobile application, if made available by Mechanic Advisor ("Desktop Softphone" and "Mobile Softphone," respectively), that allows Customer to make phone calls through a properly equipped and configured computer or mobile device.
1.6. "Distributor" means the third-party distributor engaged by Mechanic Advisor to supply Desk Phone Products for resale and/or rental to Customer. "Manufacturer" means the original equipment manufacturer of the applicable Desk Phone Product. "Manufacturer Warranty" means the limited warranty published and administered directly by the Manufacturer with respect to the applicable Desk Phone Product, as made available to Customer pursuant to Section 8 below.
2. Services
2.1. Steer Phones. Steer Phones is a call intelligence and communications technology integrated with the Steer platform to support communication with Customer's customers and related call analytics. Subject to the performance of Customer's duties and obligations under the Agreement (including any additional terms set forth in the applicable Order Form), Mechanic Advisor will provide Customer with access to Steer Phones.
2.2. In order to access and fully use Steer Phones, Customer must register for and maintain an active account and subscription with Mechanic Advisor. Customer understands and agrees that Steer Phones may be used in the United States and Canada only.
2.3. Customer understands and agrees that Steer Phones depends on the performance of the applicable Phones Service Provider(s), and that Mechanic Advisor may rely on one or more Phones Service Providers to deliver some or all of the features of Steer Phones described in the Documentation.
3. Customer Obligations
3.1. Customer Data. In addition to Customer's obligations under the Steer Terms & Conditions, Customer agrees that where Customer provides or makes available to Mechanic Advisor or a Phones Service Provider any Customer Data (including, without limitation, Personal Data about Customer's customers) in connection with Customer's use of Steer Phones, Customer grants Mechanic Advisor, and its respective Affiliates, the worldwide, nonexclusive, royalty-free, perpetual, fully-paid-up, and irrevocable right to (i) collect, use, retain, transfer, and disclose such Customer Data (including to Mechanic Advisor's and the Phones Service Provider's third-party service providers) in order to provide Steer Phones to Customer, and (ii) enable the Phones Service Provider to use such Customer Data to (a) provide the Phones Service Provider's services to the Phones Service Provider's and its affiliates' other customers, and (b) analyze and improve, and incorporate such Customer Data into, the Phones Service Provider's products, systems, and tools. Mechanic Advisor may disclose Customer Data pursuant to a data subject access request or consumer data request as required by applicable law, provided that, to the extent permitted under applicable law, Mechanic Advisor notifies Customer of any such disclosure. Notwithstanding anything herein to the contrary, Mechanic Advisor will be permitted to retain and use Customer Data (to the extent such use is permitted under these Steer Phones Service Terms) after the expiration or termination of Customer's applicable Order Form.
3.2. Compliance with Laws and Terms. Customer understands and agrees that Customer will, for the duration of the applicable Order Form or Subscription: (a) provide all required disclosures to, and obtain all required consents and/or authorizations from, its customers and other call participants based on applicable laws, prior to utilizing Steer Phones, including any consents required to record, monitor, transcribe, or analyze telephone calls; (b) obtain all necessary rights, releases, and consents to allow Customer Data to be collected, used, and disclosed in the manner contemplated by this Agreement and to grant Mechanic Advisor the rights herein; and (c) use Steer Phones only in compliance with all applicable laws, the terms of this Agreement, including the Twilio Acceptable Use Policy (currently available at https://www.twilio.com/en-us/legal/aup, the "Twilio AUP") to the extent applicable to Customer's use of Steer Phones, and industry-specific best practices, including but not limited to Do-Not-Call rules and prohibitions and the Telephone Consumer Protection Act (TCPA). Customer agrees and acknowledges that Customer is solely responsible for its compliance with applicable laws and the Twilio AUP and must not rely on Steer Phones for any such compliance. Use of Steer Phones does not guarantee compliance with applicable laws or the Twilio AUP, and Mechanic Advisor expressly disclaims any liability for Customer's noncompliance. Mechanic Advisor reserves the right to suspend or terminate Customer's access to Steer Phones or specific feature(s) of Steer Phones if Mechanic Advisor believes, in its sole discretion, that Customer has violated these Steer Phones Service Terms.
3.3. Account Use and Security. Customer is solely responsible for all use related to its use of Steer Phones. Customer is responsible for complying, and ensuring its Authorized Users comply, with all applicable laws in connection with Customer's use of Steer Phones. Customer is solely responsible for any and all actions taken using its and its Authorized Users' accounts, passwords, or access credentials. Customer must notify Mechanic Advisor within twenty-four (24) hours of any breach of security or unauthorized use of its account.
3.4. Responsibility for System and Technical Requirements. Customer understands and agrees that Steer Phones is a VoIP-enabled service and there are many factors that may impact its ability to use Steer Phones, including but not limited to network speeds and bandwidth, network connectivity, hardware, and other factors outside Mechanic Advisor's control. Customer remains solely responsible for maintaining sufficient internet access, network connectivity, power, and other technical requirements necessary to enable its use of Steer Phones.
4. Term & Termination
4.1. This Agreement, with respect to Steer Phones, will begin on the start date of the applicable Order Form for Steer Phones and will remain in effect until the applicable subscription term has expired or the applicable Order Form is terminated as expressly permitted by the Steer Terms & Conditions or the applicable Order Form. Unless otherwise specified in an applicable Order Form, each subscription term shall automatically renew for successive twelve (12)-month periods unless either party provides the other party with written notice of its intent not to renew at least sixty (60) days prior to the expiration of the then-current subscription term.
5. Ownership & Rights
5.1. These Steer Phones Service Terms do not grant any rights or licenses in Steer Phones, Desk Phone Products, or related software other than as expressly stated in these Steer Phones Service Terms or the Steer Terms & Conditions. As between the parties, Mechanic Advisor owns all right, title, and interest, including all intellectual property rights, in and to Steer Phones, Desk Phone Products, and related software. All rights not expressly granted are reserved.
6. Fees & Payment
6.1. Fees for Steer Phones are governed by the "Billing & Pricing" section of the Steer Terms & Conditions and the applicable Order Form. Customer will be responsible for all applicable taxes and fees accrued through Customer's use of Steer Phones. These charges may change from time to time and vary depending on federal, state, and local rules.
7. Desk Phone Products
7.1. Desk Phone Products are manufactured by third parties and are resold by Steer. All Desk Phone Products features, specifications, and prices are subject to change at any time. Steer does not warrant that product descriptions are accurate, complete, reliable, current, or error-free, or that the Desk Phone Products are available for lease or purchase.
7.2. The following terms apply to Desk Phone Products purchased or rented by Customer.=-
- Fake or False Consumer Reviews, Consumer Testimonials, and Celebrity Testimonials.
- Buying Positive or Negative Reviews.
- Insider Reviews and Consumer Testimonials.
- Company-Controlled Review Websites.
- Review Suppression.
- Misuse of Fake Social Media Indicators.
- Review Gating, which is a process where companies send a message to customers asking if their experience was positive or negative. Those who had a positive experience are directed to leave an online review. Those who had a negative experience are typically sent to a form to leave comments that are not made public.
Customer Reviews
Mechanic Advisor works with a third party-provider to request reviews on behalf of the Customer. By opting into this feature as part of the Services, Customer agrees to adhere to the Terms of Service of all major review sites. This includes but is not limited to Google, Facebook, Yelp, and other review sites. In addition, Customer agrees to adhere to industry best practices and FTC regulations, including but not limited to the following:
- 7.2.1. Steer will deliver the Desk Phone Products to the delivery address specified by the Customer in the applicable Order Form, at which time risk of loss will pass to you. Steer will use commercially reasonable efforts to provide you with an estimated delivery date for each Desk Phone Product; however, such delivery date is a good-faith estimate only and is not binding on Steer.
- 7.2.2. For Desk Phone Products that are purchased in full (not leased or rented), Title to each Desk Phone Product will transfer to you upon: (a) your payment of all applicable purchase fees in respect of such Desk Phone Product and (b) delivery of the Desk Phone Product in accordance with this Section 7, whichever is later.
- 7.2.3. Customer must immediately notify Steer in the event a Desk Phone is lost or stolen after it has been received by Customer.
- 7.2.4. Rental Terms. For Desk Phone Products that Customer rents on a monthly-fee basis rather than purchasing outright ("Rented Desk Phones"), the following additional terms apply: (a) title to each Rented Desk Phone remains with Steer or its Distributor at all times, and no ownership interest transfers to Customer under any circumstance; (b) Customer must return all Rented Desk Phones to Steer within thirty (30) days following expiration or termination of the applicable Order Form, or Customer's discontinuation of the applicable Desk Phone rental, in each case in the same condition as received, reasonable wear and tear excepted; (c) if Customer fails to return a Rented Desk Phone within such 30-day period, or returns it in a damaged condition beyond reasonable wear and tear, Steer may charge Customer a non-return or damage fee equal to the then-current retail replacement price of the applicable Desk Phone Product; and (d) Customer bears risk of loss for each Rented Desk Phone while in Customer's possession and must promptly notify Steer of any loss, theft, or damage in accordance with Section 7.2.3 above.
7.3. Your use of the Desk Phone Products is: (a) subject to the terms of the Steer’s Terms of Service, these Phones Service Terms, and any additional terms set forth in the applicable Order Form; (b) limited to use in conjunction with the Phones and Desk Phone Services and other Steer Services; and (c) limited to use by competent trained employees, authorized by Customer to operate or use Desk Phone Products, and with adequate security measures in place to safeguard Desk Phone Products and data collected by, and held on, Desk Phone Products.
7.4. You will not, and neither will you permit any third party to: (a) copy, reproduce, republish, upload, post, transmit, resell, or distribute in any way, any data, content, or any part of a Desk Phone Product; (b) work around any of the technical limitations implemented in a Desk Phone Product or enable functionality that is disabled or prohibited; (c) reverse engineer or attempt to reverse engineer a Desk Phone Products except as expressly permitted by applicable Law; (d) perform or attempt to perform any actions that would interfere with the normal operation of a Desk Phone Product or impact the use of the Desk Phone Products by other users; (e) use the Desk Phone Products in any manner not permitted hereunder or for any purpose other than commercial purposes; (f) use the Desk Phone Product in any location other than the registered location or move the Desk Phone Products to a new location without registering the device to its new location; (g) remove, modify, deface, or replace any of Steer’s or any Phones Service Provider’s proprietary notices or marks which appear on or are affixed to a Desk Phone Product; or (h) use the Desk Phone Products to violate any applicable Laws, including any laws and regulations related to notification and consumer protection, unfair competition, privacy, and false advertising, and any other laws relevant to the Desk Phone Products.
7.5. Except where Steer provides installation or setup services for the Desk Phone Products under the applicable Order Form (and, in that case, only with respect to the scope of such services), Customer is responsible for installing, integrating, and maintaining the Desk Phone Products, which includes updating the software as may be required by Steer or its Phones Service Provider(s) from time to time. Steer may make updates to the Desk Phone Products available to you. You must install these updates to continue using the Desk Phone Products. Steer will not be obligated to provide services or support for any outdated versions. Any updates are subject to these Phones Service Terms unless other terms are provided with the updates.
7.6. Installation and Setup Services. If Customer purchases or is otherwise provided installation or setup services for the Desk Phone Products under the applicable Order Form, Steer (using its own personnel and/or third-party installers) will perform such services in accordance with the scope described in the applicable Order Form. Steer does not warrant that installation or setup services will identify or resolve all network, hardware, or connectivity issues, and Customer remains solely responsible for maintaining sufficient internet access, network connectivity, power, and other technical requirements described in Section 3.4 above following completion of installation or setup. Where a third-party installer performs installation or setup services on Steer's behalf, such installer is an independent contractor and not an employee, subcontractor, or agent of Steer, and Steer's liability with respect to such installation or setup services is limited as set forth in the "Limitations on Liability" section of the Steer Terms & Conditions.
8. Limited Desk Phone Warranty and Support
8.1. Manufacturer's Warranty. Desk Phone Products and other hardware purchased through Steer ("Hardware") may be covered by the applicable manufacturer's limited warranty. To the extent available, Steer will pass through to Customer the manufacturer's applicable warranty for such Hardware. The manufacturer's warranty is provided by the applicable manufacturer and is subject to the manufacturer's terms, conditions, exclusions, and warranty period. Steer does not provide any separate or additional warranty for Hardware beyond any express warranty that Steer may expressly provide in writing. Steer will use commercially reasonable efforts to assist Customer with submitting warranty claims for defective Hardware, including coordinating with the applicable manufacturer or authorized service provider, as appropriate.
8.2 Warranty Claims. Hardware warranty claims may require Customer to provide proof of purchase, serial number, a description of the issue, and other information reasonably requested by the manufacturer or Steer. Manufacturer warranty claims may be subject to the manufacturer's troubleshooting, return, repair, replacement, shipping, and RMA procedures.
8.3 Warranty Exclusions. Manufacturer warranties generally do not cover damage or defects resulting from misuse, abuse, accidents, negligence, unauthorized modifications or repairs, improper installation or use, power surges, environmental conditions, normal wear and tear, or use contrary to the manufacturer's instructions. Customer is responsible for any costs or expenses not covered by the applicable manufacturer's warranty.
8.4 No Guarantee of Replacement. Steer does not guarantee that a particular Hardware item will be repaired or replaced. Any repair, replacement, refund, or other remedy will be subject to the terms of the applicable manufacturer's warranty and the manufacturer's or authorized service provider's determination.
8.5. Rented Desk Phones. This Section 8 applies only to Desk Phone Products purchased outright by Customer. Because Steer (and not Customer) is the customer of record with respect to Rented Desk Phones, Customer may not submit Manufacturer Warranty claims directly, and any defect in a Rented Desk Phone will instead be addressed by Steer under Steer's own arrangements with the Distributor or Manufacturer, subject to Customer's obligations under Section 7.2.4.
8.6. THE PHONES SERVICES AND DESK PHONE PRODUCTS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS. EXCEPT AS EXPRESSLY STATED IN THIS SECTION 8 OR THE MANUFACTURER WARRANTY, STEER PROVIDES NO EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS, AND STEER DISCLAIMS ANY IMPLIED REPRESENTATIONS, WARRANTIES, AND CONDITIONS WITH RESPECT TO THE DESK PHONE PRODUCTS, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, SATISFACTORY QUALITY AND NON-INFRINGEMENT, AS WELL AS ANY OTHER IMPLIED WARRANTIES, SUCH AS WARRANTIES REGARDING DATA LOSS, AVAILABILITY, ACCURACY, FUNCTIONALITY, AND LACK OF VIRUSES. THIS SECTION 8.38.6 APPLIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND IN ADDITION TO ANY LIMITATIONS AND DISCLAIMERS THAT MAY BE CONTAINED IN THE STEER TERMS OF SERVICE. ANY WARRANTIES, GUARANTEES, OR CONDITIONS THAT CANNOT BE DISCLAIMED AS A MATTER OF LAW, BUT WHICH MAY BE LIMITED IN DURATION, LAST FOR THE SHORTER OF (I) TWELVE (12) MONTHS FROM THE DATE ON WHICH YOU RECEIVE A DESK PHONE PRODUCT, OR (II) THE DURATION OF THE APPLICABLE MANUFACTURER WARRANTY. Use of the Desk Phone Products in conjunction with any other products, such as hardware accessories, may lead to incompatibilities which cause the Hardware Products to not function correctly. As a consequence, all such use is at your own risk.
9. Phone Number & Porting
9.1. If Customer requests Mechanic Advisor to port Customer's phone number to Steer Phones, Customer must execute a letter of authorization provided by Mechanic Advisor, authorizing a Phones Service Provider to initiate the porting process. Mechanic Advisor assumes no responsibility for any lost communication during the porting process.
9.2. Mechanic Advisor, at its sole discretion, reserves the right to refuse to allow Customer to port away any phone number ported into Steer Phones, unless otherwise prohibited by law. Mechanic Advisor may, at its sole discretion, allow Customer to port away phone numbers that Customer purchases through Steer Phones, provided that Customer (a) has an account in good standing; (b) has either ported in or purchased the phone number more than ninety (90) days prior to the port-away date; (c) provides all requested information, including written notice to Mechanic Advisor of Customer's intent to port the phone number(s) away before execution of the port-away request; and (d) is in compliance with these Steer Phones Service Terms.
10. Emergency Services
10.1. Overview of Emergency Services. Because Steer Phones relies on VoIP and related technologies, the emergency calling capabilities available through Steer Phones, if any, operate differently from traditional emergency calling services and have certain limitations. If you are not comfortable with these limitations, you must maintain and utilize alternate means of accessing emergency services. By using Steer Phones, you represent and warrant that you understand the limitations of emergency services available through Steer Phones and you agree to comply with your obligations as set forth in these Steer Phones Service Terms.
10.2. Emergency Calls Using Desktop Devices or Desktop Softphone. When you use Steer Phones on a desktop device or through a Desktop Softphone (see Section 8.3 for Mobile Softphones) to make an emergency call, Steer Phones relies on the information, including physical address, associated with your Steer Phones account to route emergency calls to the nearest emergency responder(s). Accordingly, you are required to register a physical location address ("Registered Location") when you activate your Steer Phones account. If you change your location, you must immediately update your Registered Location. If you have not updated your address to ensure its accuracy, or if you are calling from an address other than your Registered Location, emergency services may be delayed or misrouted. If no address is available, Steer Phones will route the emergency call to a national emergency response center, where supported by the applicable Phones Service Provider. It is also possible that, due to certain technical limitations, the dispatcher may not receive your contact information. You should, therefore, immediately inform the dispatcher of your location (or the location of the emergency) and other contact information. Do not disconnect the emergency call until told to do so by the dispatcher.
10.2.1. Confirming and Updating Your Registered Location. USE OF STEER PHONES FROM A LOCATION OTHER THAN YOUR REGISTERED LOCATION MAY CAUSE YOUR EMERGENCY CALL TO BE ROUTED TO THE WRONG PUBLIC SAFETY ANSWERING POINT (PSAP) OR CAUSE EMERGENCY RESPONDERS TO BE DISPATCHED TO THE WRONG ADDRESS. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THE ACCURACY OF YOUR REGISTERED LOCATION AND CONTACT INFORMATION BY PROVIDING, MAINTAINING, AND UPDATING SUCH INFORMATION FOR YOUR ACCOUNT. YOU ARE ALSO RESPONSIBLE FOR PERIODICALLY CHECKING THAT YOUR COMMUNICATIONS INFRASTRUCTURE IS PROPERLY CONFIGURED FOR EMERGENCY CALLING. Necessary updates to your Registered Location can be made within your Steer account settings; any changes will take effect once saved.
10.3. Emergency Calling via Mobile Softphone. If you attempt to make an emergency call using a Mobile Softphone on your own device, the Steer Phones application may close and route that call to your device's native dialer. If the device you are using does not have a native dialer, or does not have active wireless cellular service, you may not be able to complete the emergency call using that device. Where possible, you should make any emergency call directly using the native dialer on your device.
10.4. Additional Limitations. Emergency calling through Steer Phones will not function if: (a) you experience an internet failure or power outage; (b) your broadband, internet service, or Steer Phones services are terminated or suspended; or (c) your system access equipment fails or is not configured correctly. Network congestion may also delay or prevent completion of any emergency call. You will not be able to complete an emergency call if you use Steer Phones outside the country in which Steer Phones services are provided. The availability of certain features, such as transmission of a Registered Location, depends on whether local emergency response centers support those features, and other factors outside of Mechanic Advisor's control. Mechanic Advisor relies on the applicable Phones Service Provider(s) to assist in routing emergency calls to emergency response centers and does not control emergency response centers, emergency responders, or other third parties involved in handling an emergency call.
10.5. Customer Notice Obligations. YOUR USE, AND USE BY YOUR EMPLOYEES, AUTHORIZED USERS, AND OTHER THIRD PARTIES, OF STEER PHONES IS SUBJECT TO THE LIMITATIONS DESCRIBED HEREIN. You are responsible for notifying any user or potential user of Steer Phones, including your Authorized Users, of the limitations of Steer Phones' emergency calling capabilities.
10.6. Customer Indemnity. Customer will indemnify and hold harmless Mechanic Advisor Indemnitees from and against any and all third-party claims and related costs, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from or pertaining to: (i) Customer's incorrect Registered Location or contact information; (ii) Customer's failure to properly notify any person who may place calls using Steer Phones of the emergency calling limitations described herein; (iii) the absence, failure, or outage of emergency calling using Steer Phones for any reason; and (iv) the inability of any user of Steer Phones to access emergency service personnel for any reason.
10.7. Disclaimer. Neither Mechanic Advisor, its Phones Service Provider(s), nor their respective representatives will be liable under any legal or equitable theory for any claim, damage, or loss (and Customer will hold Mechanic Advisor harmless against any and all such claims) arising from or relating to the inability to use Steer Phones to contact emergency services. Mechanic Advisor disclaims all responsibility for the conduct of emergency response centers and all other third parties involved in the provision of emergency response services. To the extent permitted by applicable law, you hereby release, discharge, and hold harmless Mechanic Advisor from and against any and all liability relating to or arising from any acts or omissions of such third parties involved in the handling of or response to any emergency or emergency call.
11. Steer Phones Infrastructure
11.1. Steer Phones is offered as an integrated software feature of the Steer platform and is not, and is not intended to be, a substitute for Customer's primary telecommunications service. Mechanic Advisor does not act as, and shall not be deemed, a telecommunications carrier, common carrier, or provider of "telecommunications services" under the Communications Act of 1934, as amended, or any comparable state law, and is not registered with, and does not intend to be regulated by, the Federal Communications Commission ("FCC") or any state public utility or public service commission as a telecommunications carrier.
11.2. The actual origination, transmission, and termination of voice calls placed or received through Steer Phones is performed by the Phones Service Provider(s) (currently, Twilio) and their respective underlying telecommunications carrier partners, and not by Mechanic Advisor. Mechanic Advisor is not responsible for, and disclaims all liability arising from, any act, omission, outage, degradation, or other service failure of a Phones Service Provider or its underlying carriers. Mechanic Advisor may change or replace a Phones Service Provider at any time without Customer's consent, provided that Mechanic Advisor uses commercially reasonable efforts to avoid material disruption to Customer's use of Steer Phones.
12. Call Recording, Monitoring, and Consent
12.1. To the extent Customer uses Steer Phones to record, monitor, transcribe, or analyze telephone calls (including through AI-based analytics), Customer is solely responsible for: (i) complying with all applicable federal, state, and local laws governing the recording and monitoring of telephone communications, including obtaining any legally required consent from call participants (which may require one-party or all-party consent depending on the jurisdictions of the parties to the call); (ii) providing any legally required notice to call participants that a call may be recorded, monitored, transcribed, or processed using automated or artificial-intelligence-based tools; and (iii) any use, storage, or disclosure of call recordings, transcripts, or related analytics generated through Steer Phones. Mechanic Advisor is not responsible for Customer's failure to comply with applicable call recording, wiretapping, or eavesdropping laws, and such recordings and transcripts constitute Customer Data under the Steer Terms & Conditions.
13. Disclaimer of Warranties
13.1. STEER PHONES IS PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. EXCEPT AS EXPRESSLY STATED IN THESE STEER PHONES SERVICE TERMS, MECHANIC ADVISOR PROVIDES NO EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS REGARDING STEER PHONES, AND DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY OTHER IMPLIED WARRANTIES, INCLUDING REGARDING DATA LOSS, AVAILABILITY, ACCURACY, CALL QUALITY, AND FUNCTIONALITY. THIS SECTION APPLIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND IN ADDITION TO ANY LIMITATIONS AND DISCLAIMERS CONTAINED IN THE STEER TERMS & CONDITIONS.
